Friends of J-List Affiliate Program Agreement Updated Thursday, February 12, 2008 Agreement This Agreement represents the complete terms and conditions for the Friends of J-List Affiliate Program. It is an agreement between J-List Co. Ltd., a Japanese limited corporation based in Isesaki, Japan, and you, and individual or legal entity with a website ("Affiliate" or "Affiliates"). We reserve the right to amend or change this agreement as time goes by. Affiliates who have registered can find updated versions of this agreement after logging into the affiliate site. We ask that all Affiliates remain on the email mailing list that we've established so that we can inform everyone easily of changes. Application To enroll in this affiliate program, you must submit an application through the J-List website. We will review your site and determine if your site is suitable for this affiliate program. We must decline to accept websites which o promote software piracy or other violations of copyrights (warez) o promote hate or discrimination o promote any illegal activities o have an overly "amateurish" feel or are under construction o "bad neighborhood" sites or sites employ techniques that might be seen as "black hat optimization" by search engines o would harm the image of J-List in the eyes of readers o utilize popups or popunders in ways that might alienate readers o for other reasons we find unsuitable Linking If you are approved into the J-List affiliate program, you need to link to J-List using one of the approved linking methods to receive credit for orders. Several alternate methods for linking to J-List products are included, and affiliates can verify that the links are working by clicking on them and logging into the system and viewing their click stats. Hosting of Banner Images To help Affiliates promote J-List, we provide a selection of banners and web graphics which can be placed on Affiliate websites, hosted by us (no bandwidth cost to affiliates). J-List will update these graphics with fresh product images approximately every 6-8 weeks. Linking to Adult Images Because J-List sells some products intended for adults, Affiliates must take steps to ensure that minors do not accidentally stumble onto pages with content that isn't suitable for them. Affiliates agree to use common sense when linking with regard to adult images at all times, depending on the nature of their site and its visitors. Order Processing J-List will process orders placed by customers who enter the J-List website through Affiliate links. We will be responsible for all aspects of order fulfilling, and will track the origins of Affiliate links so that Affiliates receive credit for successful orders. Affiliates will be able to access their clickthrough statistics, view the number of orders that have been credited through them, and verify that their Affiliate links are working properly. Commissions J-List offers a choice to Affiliates on how they will receive commissions: option (a), commission paid by check, or option (b), a commission given as a J-List store credit, which can be used for any purchases through the J-List website. Currently, the commission amount is set at 8% for cash commissions (option a), and 12% for store credit commissions (option b), but we reserve the right to change this commission structure in the future. If your affiliate relationship with J-List requires special attention or uses a higher than average amount of our system resources, we reserve the right to adjust the offered commission accordingly. All currency values are in US$. When new affiliates are approved, the default setting in the Affiliate Website is set to the cash commission option, and Affiliates should update the setting manually if they wish to receive the higher store credit commission. Once a quarter has ended, we will use the setting in the Affiliate Control Panel. Commissions may not be broken up into partial cash payments and partial store credits. Commissions will be paid on all valid, approved orders. A valid order is one made by a customer, paid for, and not returned. We will cancel orders made with fraudulent credit cards, orders made but never paid for, orders from countries we refuse to ship to, and, at our sole discretion, any other order which does not meet our judgment criteria, which may change from time to time. Valid orders which are returned, or orders which receive credit card chargebacks, will result in commissions being subtracted from your account. Within 15 days after the end of each 60 day period, we will issue your commissions in the form of a check (if you've chosen option a) or issue a store credit (if you've chosen option b). For payments less than $10, no check will be issued, and the amount will be carried forward until the next payment period. Payouts Payouts (for cash commissions) or issuing of store credit (for affiliates choosing a J-List store credit option) will be made according to a schedule to be posted on the J-List home page. Affiliates who have less than $10 in affiliate credit will not receive a check payment, but will have the amount accured til the next period. License If accepted into the J-List Affiliates Program, you agree to be bound by the terms of this agreement, which we reserve the right to change as time goes by. The terms and conditions, commission structure, payment schedules, and all other details may be modified by us if there is a need. Right of Termination We also reserve the right to terminate your relationship as a J-List Affiliate at any time, and you agree to remove all links to J-List permanently in the event that the arrangement is terminated. After termination, commissions will be paid on valid orders normally according to the normal schedule. However, if your account is terminated due to abuse of our system, including but not limited to attempting to defraud J-List or its customers, trying to trick our system into getting credit for sales that aren't valid, engaging in "black hat" techniques meant to get a higher score with search engines, and sending any spam at all, you will forfeit any and all commissions you have earned. J-List must use its sole descretion in determining the details of termination. Responsibility for your Site and Use of Good Judgment You retain all responsible for all aspects of your website and everything that appears on your site, including operation, updating, managing of copyright disclaimers, technical issues, and issues relating the content of your site. We disavow any liability for any aspect of your website, which is your property and your responsibility. You will indemnify and hold us harmless from all claims and expenses (including attorneys' fees) resulting from the development and operation of your site. Affiliates May Not Make Affiliate Purchases Affiliates may not use their own affiliate programs to get a discount on purchases. Affiliates found doing this will be removed from the Friends of J-List system. Term of the Agreement This Affiliate relationship will begin at such time as your website is accepted into the program and will end when terminated by you or J-List. Either you or we may terminate this agreement at any time, for any reason, by giving the other party written notice of termination. Upon termination of our affiliate relationship, you agree to remove all links to J-List. Final commissions will be paid in accordance with this agreement, unless J-List has terminated your account for abuse of our system as outlined above. Relationship of Parties You and J-List are independent contractors, and this agreement does not create any legal partnership, joint owned venture, sales representative or employee relationship. Technical Details and Outages J-List will provide a safe, stable server-hosted system that allows orders from affiliate websites to be tracked and be credited to the customer, and will be responsible for all technical details of operating the affiliate system. In the event of a malfunction, service outage, software or hardware error, or any other condition which results in affiliate orders not being credited J-List will make all reasonable steps to correct the problem immediately. In the event of a protracted problem with the J-List website or affiliate system, J-List will communicate the status of the system to all affiliates through the designated email address. While J-List promises to make good-faith efforts to credit all orders to affiliates, in some situations some orders may be lost. J-List cannot be held accountable for such orders if affiliate data cannot be reconstructed. Liability Limitation and Disclaimer We will not be liable for any damages including loss of revenue or data arising from your relationship as an affiliate to J-List. Further, our total liability arising with respect to this Agreement and the Program will not exceed the total Commissions paid or payable to you under this Agreement. Further, we make no warranty, direct or indirect, with respect to this affiliate program or the products sold through the program. Governing Area This agreement will be governed by the laws of Japan and the prefecture of Gunma. Any legal action relating to this agreement must be brought in courts in Gunma, Japan, and you irrevocably agree to the jurisdiction of these courts.
